NORTH AMERICAN VERSATILE HUNTING DOG ASSOCIATION, INC.

BY-LAWS

 

Article I:  Name and Purpose

Section 1. 

The name of this Incorporated non-profit organization is the North Central Wisconsin Chapter of the North American Versatile Hunting Dog Association (NAVHDA).

 

Section 2. 

The purpose of this organization is to foster, improve, promote, and protect the versatile hunting dog breeds in North America by such activities as:

  1. Conducting field tests for the versatile breeds according to the rules of the Field Test Standards of and sponsored by the North American Versatile Hunting Dog Association.

  2. Sponsoring training clinics to assist and guide handlers and dogs in preparing for hunting and field tests.

  3. Sponsoring other activities of interest to the membership with Board of Directors approval (2/3rds) two-thirds majority vote.

  4. Sponsoring activities to raise funds to assist in financing tests, training clinics, and training equipment acquisition and maintenance.

  5. Acquainting sportsmen and hunters with the history and use of the versatile hunting dog breeds.

Article II:  Membership and Dues

 

Section 1.  

To remain on active status the chapter is required to maintain a dues paying membership of not less than (10) ten adult persons.

 

Section 2.

  1.  Active members are those who have paid their annual dues for the current calendar year (January 1 to December 31).

  2. Members must also maintain active membership in the parent organization of NAVHDA.

  3. Any member not renewed by March 31, shall be dropped as a member.

  4. Any new membership paid after August 1 shall cover the remainder of the year and the next calendar year.

 

Section 3. 

The Board of Directors may change membership fee by a (3/4ths) three-fourths majority vote.

 

Section 4. 

Expulsion of a member may be made by the Board of Directors for a violation of the Club Rules or unsportsmanlike conduct. Said expulsion shall require a (3/4ths) three-fourths majority vote by the Board of Directors.

 

Section 5.  

The general membership may elect to grant a lifetime honorary membership without payment of dues to any person who made an outstanding contribution to the purpose of the organization.

 

Article III: Officers, Directors and Committees

Section 1.

The elected officers of the organization are President, Vice President, Secretary and Treasurer.

  1. Terms of all officers shall be (2) two years with President and Vice President elected on even number years (00-02-04, etc.). Secretary and Treasurer shall be elected on odd number years (01-03-05, etc.)  No officer shall serve more than (4) four consecutive terms in office.

  2. All officer positions are unpaid positions.

 

Section 2.  

The Board of Directors shall consist of the President, Vice President, Secretary, Treasurer and (4) four directors from the general membership.

  1. The (4) four directors from the at-large population of members are unpaid positions of (2) two years with a maximum of (2) two consecutive terms. Directors have the right to vote and issue opinions at Board of Director meetings. Two directors will be elected on even years, two directors on odd years.

 

Section 3.

Officers and Director Duties

  1. President: The President shall be the chief executive officer of the organization. The President shall conduct the business of the organization in accordance with its constitution by-laws and motions passed by the general membership and/or the Board of Directors. The President shall chair the Board of Directors meeting and general membership meetings. The President with advice and consent of the Board of Directors may appoint acting officers to fill vacancies occurring between elections and committee chairpersons as may be required. The President shall also act as Training Director as needed.

  2. Vice President: The Vice President assumes the office of President in the event of a vacancy occurring therein. He shall act for the President during the temporary absence of the President.  The Vice President is the chapter's test secretary and shall receive entries for tests, determine test running schedules, shall reserve judges for tests and shall be responsible for the itinerary for such tests.

  3. Secretary: The Secretary shall be responsible for chapter correspondence including but not limited to the newsletter  and web page, with all mailings, the administrative records and reports of minutes of meetings and other administrative business of the chapter.

  4. Treasurer: The Treasurer shall maintain the financial records of the chapter, receive and distribute all funds and prepare financial statements for annual meetings and as the Board of Directors needs such reports. One of the other officers may be on the list of authorized signatures for the chapter's checking account, officer to be decided by the Board of Directors. A random audit of the chapter bank accounts may be called by the President at any time.

Article IV: Elections

Section 1.

  1. Nominations of officers may be made at the January meeting by any paid member over the age of (18) eighteen years and with at least (1) one year of membership.

  2. Elections will be held by secret paper ballot to be prepared by the Secretary. Elections shall be by those members that attended the January meeting, have paid up dues and are over (18) eighteen years of age. Simple majority wins elected office.

 

Article V: Conduct of Meetings and Parliamentary Procedures

Section 1.

The parliamentary business of the organization is conducted at the chapter meetings. To the extent that is practical, Robert’s Rules of Order shall apply.

 

Section 2.

Normal procedure requires the Secretary, by correspondence, to notify all members of the next meeting. Motions can be presented by any paid-up member. A simple majority of votes cast by paid-up members present at the meeting shall carry a motion, except for motions to revise or amend the constitution, which motions require a (2/3rds) two-thirds majority of members at the meeting.

 

Section 3.  

The Treasurer shall publish annually a financial statement of the organization. The financial report shall be examined by at least two members of the Board of Directors before the annual publication of said report to the chapter members.

Article VI: Dissolution

 

Section 1. 

In the event the Board of Directors passes a motion by (2/3rds) two-thirds majority to cease operation, any assets of the organization shall become the property of the parent organization (NAVHDA). Such as is verified by (2/3rds) two thirds majority vote of all paid chapter members.

Article VII: Amendments to the Bylaws

 

Section 1.

Amendments to the bylaws will be voted on by the chapter members and shall require a (2/3rds) two-thirds majority to pass.

 

Section 2.

Motions to revise or amend the constitution or bylaws shall require active members to receive (2) two week notice of such motion.
